Navigating the Differences: Retail Leases vs. Commercial Leases in Queensland

When it comes to leasing commercial property in Queensland, one size does not fit all. Understanding the distinction between retail leases and commercial leases is essential for protecting your legal and financial interests—whether you’re a landlord or a tenant.

At Lynch Law, we help clients navigate the legal complexities of leasing so they can proceed with confidence. Here’s what you need to know.

The difference between Retail Leases and Commercial Leases

Before you sign a lease, it’s important to understand what kind of lease you’re entering into—because not all leases are created equal.

Retail leases are all about businesses that deal directly with the public—think shops, cafes, salons, or service providers. In Queensland, these leases are governed by the Retail Shop Leases Act 1994, which sets out specific rules and protections for tenants and landlords alike. If your business involves the sale or hire of goods or services to customers, chances are you’re dealing with a retail lease.

Commercial leases are typically used for offices, warehouses, industrial sites, and other non-retail premises. They aren’t covered by the Retail Shop Leases Act, which means they offer greater freedom of negotiation—but also fewer built-in legal protections. The rights and responsibilities under a commercial lease come down to what’s agreed in the contract, so careful drafting is key.

Retail vs. Commercial Leases: The Key Differences That Matter

While retail and commercial leases might seem similar on the surface, the legal landscape beneath them is very different. Here’s a breakdown of the most important distinctions every landlord and tenant should understand:

  1. The Legal Framework

Retail leases are covered by the Retail Shop Leases Act 1994, which means there are strict rules and protections in place, especially for tenants. This includes things like minimum lease terms, formal disclosure obligations, and built-in dispute resolution procedures.

Commercial leases? Not so much. They’re largely unregulated, which gives parties more freedom—but also means you’re relying heavily on the lease agreement itself to cover all the bases.

  2. Disclosure Obligations

With a retail lease, landlords must provide a detailed disclosure statement before the lease is signed. This outlines key terms like rent, lease duration, and outgoings, and helps ensure tenants know exactly what they’re signing up for. Tenants are also required to provide disclosure and to seek legal and financial advice.

Commercial leases, by contrast, don’t come with the same mandatory disclosures. While some information may be shared, it’s generally less comprehensive—and entirely negotiable.

  3. Rent Reviews and Outgoings

Retail leases often have specific provisions regarding rent reviews and the allocation of outgoings between landlords and tenants. Commercial leases allow for greater flexibility in negotiating these terms based on the nature of the leased property and the parties’ agreement.

  4. Dispute Resolution

Disputes under a retail lease follow a specific statutory process, often involving mediation through the Office of the Small Business Commissioner, which is designed to be quicker and more cost-effective than court.

Commercial lease disputes, however, don’t follow a prescribed legal pathway. Any issues that arise must be resolved based on the lease terms—typically through private negotiation, mediation, or litigation.

Why It Pays to Know the Difference

Whether you’re a landlord leasing out space or a tenant preparing to sign, knowing the difference between a retail lease and a commercial lease isn’t just helpful—it’s essential.

Each type of lease comes with its own set of rules, obligations, and protections. The wrong choice—or a poorly drafted agreement—can expose you to unnecessary risk, financial strain, or legal disputes.

That’s why it’s so important to:

    • Understand the regulatory requirements that apply
    • Review disclosure obligations carefully
    • Know exactly what your lease allows—and what it doesn’t

Getting the structure right from the start can save you significant time, money, and stress down the track.
